Lick Old Ladies Home

Know all Men by these Presents, That, at a meeting of the "Lick Old Ladies Home," a Society organized and existing for benevolent purposes only, and not for pecuniary profit, held at the place of meeting of said Society, [illegible word] at No. 214 Sansome Street, at the City and County of San Francisco, State of California, on the 12th day of November 1884, all of the members of said Society being present and voting --
That A.B. Forbes was elected and acted as the President, and Robert McElroy as the Secretary of said meeting, and that as such President, and as such Secretary, said A.B. Forbes and said Robert McElroy conducted the election for Trustees hereinafter stated --
Thereupon, at said meeting all of the members of said Society there being present and voting; it was unanimously resolved --
First: That the Society do incorporate under the laws of the State of California.
Second: That the name of this Society is, and shall be "Lick Old Ladies Home."
Third: That the number of Trustees who shall manage the affairs of this Society when incorporated shall be five.
Thereupon, an election by ballot for five Trustees, as aforesaid, was held by said Society, all of the members of said Society then being present, and voting at said election --
That said election was conducted by said A.B. Forbes and said Robert McElroy in accordance with the rules and regulations of said Society, and that as a result of said election the following gentlemen were unanimously elected as said Trustees:

That after said election it was further resolved that the aforesaid persons so elected as Trustees be authorized on behalf of the Society to prepare, authenticate, and cause to be filed in the proper offices, "Articles of Incorporation." --
Now Therefore, we the said A.B. Forbes, J.B. Roberts, Ira P. Rankin, Robert McElroy, and E.W. Newhall, for the purposes of incorporating said Society under the corporate name of "Lick Old Ladies Home," do hereby certify and declare as follows, to-wit:
First: That the name of said corporation is "Lick Old Ladies Home." [Note: On June 12, 1896, a judge granted the trustees' request to change the Home's name to the University Mound Old Ladies Home, which remains its legal name today.]
Second: That the purpose for which said corporation is formed is the founding and maintenance of our institution, as a retreat for aged women who are unable to support themselves, and the acquiring and holding of all such real and personal property as may be necessary to accomplish the object of the corporation.
Third: That the place where the principal business of said corporation is to be transacted is the City and County of San Francisco, State of California.
Fourth: That the term for which said corporation is to exist is fifty (50) years. [Note: This was amended on January 15, 1934, to provide for the Home's perpetual existence.]
Fifth: That the number of Trustees of said corporation is five (5) and that the names and residences of those who are appointed for the first year are as follows:
A.B. Forbes, who resides at the City and County of San Francisco, State of California;
J.B. Roberts, who resides at the City and County of San Francisco, State of California;
Ira P. Rankin, who resides at the City and County of San Francisco, State of California;
Robert McElroy, who resides at the City and County of San Francisco, State of California;
E.W. Newhall, who resides at the City and County of San Francisco, State of California.
Sixth: That said corporation has no capital stock, and that pecuniary profit is not the object of said corporation.
Seventh: That neither the corporation nor the Trustees thereof, nor any officer of the corporation, shall have any power to make or execute any instrument in writing of any kind which shall purport to create a lien upon any of the real property of the corporation. [Note: This was amended in 2009.]
In Witness Whereof, we have herewith set our hands and seals, at the City and County of San Francisco, this 18th day of November, A.D. 1884.

A.B. Forbes and Robert McElroy, first being duly sworn, each says for himself and not one for the other, tht he has read the foregoing certificate and Articles of Incorporation of the "Lick Old Ladies Home" and well knows the contents thereof, that he the said A.B. Forbes and he the said Robert McElroy, are the individuals mentioned in said certificate and Articles of Incorporation as being the officers who conducted the election for Directors mentioned in said certificate and said Articles of Incorporation, that they, and each of them, conducted said election as therein mentioned, and that they and each of them were at said time and are now members of said "Lick Old Ladies Home," and residents of the State of California.
That at said election all of the members of said "Lick Old Ladies Home" were present and voted, an that all and singular the matters and things set out in said certificate and in said Articles of Incorporation are true to each of these affiants' own knowledge.
